JPMorgan Chase & Co. (JPMorgan Chase), incorporated in 1968, is a financial holding company. The Company is a global financial services firm and a banking institution in the United States, with global operations. The Company is engaged in investment banking, financial services for consumers and small businesses, commercial banking, financial transaction processing, asset management and private equity. JPMorgan Chase’s principal bank subsidiaries are JPMorgan Chase Bank, National Association (JPMorgan Chase Bank, N.A.), a national bank with the United States branches in 23 states, and Chase Bank USA, National Association (Chase Bank USA, N.A.), a national bank that is the Company’s credit card-issuing bank. JPMorgan Chase’s non-bank subsidiary is J.P. Morgan Securities LLC (JPMorgan Securities), the Company’s the United States investment banking firm. The bank and non-bank subsidiaries of JPMorgan Chase operate nationally, as well as through overseas branches and subsidiaries, representative offices and subsidiary foreign banks. One of the Company’s principal operating subsidiaries in the United Kingdom is J.P. Morgan Securities Ltd., a subsidiary of JPMorgan Chase Bank, N.A. JPMorgan Chase’s activities are organized into six business segments, as well as Corporate/Private Equity. The Company’s wholesale businesses comprise the Investment Bank (IB), Commercial Banking (CB), Treasury & Securities Services (TSS) and Asset Management (AM) segments. The Company’s consumer businesses comprise the Retail Financial Services (RFS) and Card Services & Auto (Card) segments. In June 2012, the Company’s asset management business created a new unit.
Investment Bank
The Company is an investment bank, with client relationships and a range of product capabilities. The clients of IB are corporations, financial institutions, governments and institutional investors. The Company offers a range of investment banking products and services in all capital markets, including advising on corporate strategy and structure, capital-raising in equity and debt markets, risk management, market-making in cash securities and derivative instruments, prime brokerage, and research.
Retail Financial Services
Retail Financial Services serves consumers and businesses through personal service at bank branches and through automated teller machines (ATMs), online banking and telephone banking. RFS is organized into Consumer & Business banking and Mortgage Banking (including Mortgage Production and Servicing, and Real Estate Portfolios). Consumer & Business banking includes branch banking and business banking activities. Mortgage Production and Servicing includes mortgage origination and servicing activities. Real Estate Portfolios comprises residential mortgages and home equity loans, including the purchased credit-impaired (PCI) portfolio. Customers can use more than 5,500 bank branches and more than 17,200 ATMs, as well as online and mobile banking around-the-clock. It also services more than eight million mortgages and home equity loans. Effective July 1, 2011, RFS was organized into two components: Consumer & Business Banking and Mortgage Banking (including Mortgage Production and Servicing, and Real Estate Portfolios). Mortgage Production and Servicing revenue comprises the net production revenue, net mortgage servicing revenue. Net production revenue includes net gains or losses on originations and sales of prime and subprime mortgage loans, other production-related fees and losses related to the repurchase of previously-sold loans. Net mortgage servicing revenue includes operating revenue and risk management. Operating revenue comprises all gross income earned from servicing third-party mortgage loans, including stated service fees, excess service fees, late fees and other ancillary fees, and modeled mortgage servicing rights (MSR) asset amortization (or time decay).
Card Services & Auto
Card Services & Auto is a credit card issuer. As of December 31, 2011, customers had over 65 million open credit card accounts (excluding the commercial card portfolio), and used Chase credit cards. Through its Merchant Services business, Chase Paymentech Solutions, Card is engaged in payment processing and merchant acquiring. Consumers also can obtain loans through more than 17,200 auto dealerships and 2,000 schools and universities nationwide. Commercial Card provides a range of payment services to corporate and public sector clients globally through the commercial card products. Services include procurement, corporate travel and entertainment, expense management services and business-to-business payment solutions.
Commercial Banking
As of December 31, 2011, Commercial Banking delivers services to more than 24,000 clients nationally, including corporations, municipalities, financial institutions and not-for-profit entities, and nearly 35,000 real estate investors/owners. CB partners with the Company’s other businesses to provide solutions, including lending, treasury services, investment banking and asset management to meet its clients’ domestic and international financial needs. Commercial Banking is divided into four client segments: Middle Market Banking, Commercial Term Lending, Corporate Client Banking, and Real Estate Banking. Middle Market Banking covers corporate, municipal, financial institution and not-for-profit clients. Commercial Term Lending provides term financing to real estate investors/owners for multifamily properties, as well as financing office, retail and industrial properties. Real Estate Banking provides full-service banking to investors and developers of institutional-grade real estate properties. Lending and investment activity within the Community Development Banking and Chase Capital segments are included in other.
Treasury & Securities Services
Treasury & Securities Services is a global leader in transaction, investment and information services. TSS is global cash management providers and a global custodian. Treasury Services provides cash management, trade, wholesale card and liquidity products and services to small- and mid-sized companies, multinational corporations, financial institutions and government entities. TS partners with IB, CB, RFS and AM businesses to serve clients firmwide. Its TS revenue is included in other segments’ results. Worldwide Securities Services holds, values, clears and services securities, cash and alternative investments for investors and broker-dealers, and manages depositary receipt programs globally. Description of a business metric within TSS, which include Liability balances include deposits, as well as deposits that are swept to on-balance sheet liabilities (commercial paper, federal funds purchased, time deposits and securities loaned or sold under repurchase agreements) as part of customer cash management programs.
Description of selected products and services within TSS Investor Services; Clearance, Collateral Management & Depositary Receipts; Transaction Services, and Trade Finance. Investor Services includes custody, fund accounting and administration, and securities lending products sold to asset managers, insurance companies and public and private investment funds. Clearance, Collateral Management & Depositary Receipts includes broker-dealer clearing and custody services, including tri-party repo transactions, collateral management products, and depositary bank services for American and global depositary receipt programs. Transaction Services includes a range of products that enable clients to manage payments and receipts, as well as invest and manage funds. Products include the United States dollar and multi-currency clearing, automated clearing house (ACH), lockbox, disbursement and reconciliation services, check deposits, and currency related services. Trade Finance enables the management of cross-border trade for bank and corporate clients. Products include loans directly tied to goods crossing borders, export/import loans, commercial letters of credit, standby letters of credit, and supply chain finance.
Asset Management
Asset Management is engaged in investment and wealth management. AM clients include institutions, retail investors and high-net-worth individuals in market globally. AM offers global investment management in equities, fixed income, real estate, hedge funds, private equity and liquidity products, including money market instruments and bank deposits. AM also provides trust and estate, banking and brokerage services to high-net-worth clients, and retirement services for corporations and individuals. The AM’s client assets are in actively managed portfolios. AM’s client segments comprise the Private Banking, Institutional and Retail. Private Banking offers investment advice and wealth management services to high- and ultra-high-net-worth individuals, families, money managers, business owners and small corporations globally, including investment management, capital markets and risk management, tax and estate planning, banking, capital raising and specialty-wealth advisory services. Institutional brings global investment services, including asset management, pension analytics, asset-liability management and active risk-budgeting strategies to corporate and public institutions, endowments, foundations, not-for-profit organizations and governments globally. Retail provides investment management services and retirement planning and administration, through third-party and direct distribution of a range of investment vehicles.
Corporate/Private Equity
The Corporate/Private Equity sector comprises private equity, treasury, the chief investment office (CIO), corporate staff units and expense that are centrally managed. Treasury and CIO manage capital, liquidity and structural risks of the Firm. The corporate staff units include central technology and operations, internal audit, executive office, finance, human resources, marketing and communications, legal and compliance, corporate real estate and general services, risk management, corporate responsibility and strategy and development. Other centrally managed expense includes the Company’s occupancy and pension-related expense, net of allocations to the business.
